Vytek Wireless To Acquire Stellcom

San Diego, CA – November 18, 2002 – Stellcom, Inc. (“Stellcom “), a systems integrator recognized for its advanced expertise in mobility and enterprise engineering solutions, has signed a definitive merger agreement to be acquired by privately-held Vytek Wireless, Inc. (“Vytek”), a global provider of integrated mobile solutions for business and government. The new company, to be known as Vytek, will capitalize on complementary areas of expertise to deliver a broader and deeper range of emerging enterprise solutions currently not offered by any company. The merger is expected to close in January 2003, subject to satisfaction of customary closing conditions. Terms were not disclosed.

The companies provide mobile and emerging technology expertise to leading platform providers including Cisco Systems, Hewlett Packard, Intel, Microsoft, Motorola and Symbol Technologies. Current Fortune 1000 customers include Southwest Airlines, Barnes & Noble, Sempra Energy and Sony. Both firms are backed by major venture capital groups, including Stellcom investors Frontenac Company, Mission Ventures and Goldman Sachs and Vytek  investors Mobius Venture Capital, Charterhouse Group International and CIBC World Markets.

Ousley will serve as chief executive officer of the combined company and Trent will serve as executive vice president and general manager.

Randy Grigg, Managing Director with DecisionPoint International, served as an advisor to Stellcom on the transaction.
